RipStation — Terms of Service

1. Introduction and Acceptance of Terms

Welcome to RipStation ("Service"), operated by Byzantine Port Technologies Inc., a company incorporated under the laws of the Republic of Panama ("RipStation," "we," "us," or "our"). The Service is accessible at ripstation.xyz and through any related applications, tools, or platforms.

By accessing or using the Service, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, and any other policies referenced herein (collectively, the "Agreement"). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or by email. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

By using the Service, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15. PLEASE READ THEM CAREFULLY.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
  • Have the legal capacity to enter into a binding agreement;
  • Not be a resident of any jurisdiction where use of the Service is prohibited;
  • Not be subject to economic sanctions imposed by any applicable authority, including but not limited to the United States, European Union, or United Kingdom;
  • Not have been previously suspended or terminated from the Service.

We reserve the right to require identity verification (KYC) at any time, including through third-party verification services. Failure to complete verification may result in restricted access or account suspension.

2.1 Restricted Jurisdictions

Pack openings on RipStation constitute purchases of digital goods with randomized contents. They are not marketed, offered, or intended as gambling products. However, regulatory definitions vary by jurisdiction, and you are solely responsible for determining whether your use of the Service is lawful under the laws of your jurisdiction.

You must not use a virtual private network (VPN), proxy service, or any other means to circumvent any geographic restrictions imposed by the Service. Violations may result in immediate account suspension, enhanced KYC requirements, and potential reporting to relevant regulatory authorities.

2.2 Risk Acknowledgment

By using the Service, you acknowledge and accept the following risks:

  • The value of digital assets and collectibles is volatile and may fluctuate significantly;
  • Physical collectibles stored in vault custody may be subject to risks including damage, loss, or depreciation;
  • Permanent loss of assets may occur in certain circumstances, including default on any lending or collateralization features;
  • Digital tokens or representations of physical assets on the Service do not represent equity, debt, revenue share, governance rights, or any form of investment contract;
  • Blockchain technology carries inherent risks, including but not limited to network failures, smart contract vulnerabilities, and regulatory changes.

3. Account Registration

You may register for an account using email, social login (such as Google or Apple ID), or by connecting a compatible cryptocurrency wallet. If the Service provides an embedded wallet, you are responsible for the security of your credentials and all activity that occurs under your account.

You agree to:

  • Provide accurate and complete information during registration;
  • Maintain the security and confidentiality of your account credentials;
  • Promptly notify us of any unauthorized use of your account;
  • Accept responsibility for all activities that occur under your account.

Guest accounts may be permitted with limited functionality at our discretion.

4. Description of the Service

RipStation is a platform for physical and digital collectibles. The Service enables users to:

  • Purchase Packs: Buy randomized packs containing graded collectible cards;
  • Marketplace: Buy, sell, and trade collectibles with other users in a peer-to-peer marketplace;
  • Vault Storage: Store physical collectibles securely in professional, insured vault facilities;
  • Claim (Redemption): Redeem digital representations for physical collectibles shipped to your address;
  • Submit (Tokenization): Submit physical collectibles for authentication, grading, and tokenization on the platform;
  • Buyback: Sell collectibles back to the platform at disclosed rates for instant liquidity;
  • Fund Management: Manage wallet balances, deposits, and withdrawals;
  • Gamification: Participate in leaderboards, promotions, and community features.

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

5. Packs and Digital Assets

Packs available on the Service contain randomized collectible items. Each pack's contents are determined at the time of opening and are not predetermined or guaranteed. Past results do not predict future outcomes.

5.1 Provable Fairness

RipStation may employ cryptographic verification systems to ensure the fairness of randomized pack outcomes. Where available, details of the verification method (including server seed hashing, client seeds, and algorithms) will be disclosed on the Service.

5.2 Buyback

After opening a pack, you may be offered the option to sell your item back to RipStation at a disclosed buyback rate. Buyback offers are time-limited and denominated in the currency or stablecoin specified at the time of offer.

The buyback feature is not guaranteed liquidity. We reserve the right to suspend, modify, or discontinue the buyback program at any time without prior notice.

5.3 Assumption of Risk

By purchasing packs, you voluntarily assume all risks associated with randomized outcomes. You acknowledge that the value of items received through randomized mechanisms may be significantly less than the amount paid. You are not relying on any guarantee of value, rarity, or return.

6. Marketplace

The marketplace facilitates peer-to-peer transactions between users. Key provisions:

  • Listings constitute binding offers to sell at the listed price;
  • Completed purchases are final and irreversible;
  • A transaction fee (as disclosed on the Service) applies to marketplace sales;
  • RipStation does not guarantee that any item will sell or that a buyer will be found;
  • Fair Market Value (FMV) data, where displayed, is provided "as is" from third-party sources and is not guaranteed;
  • RipStation reserves the right to cancel transactions resulting from pricing errors, technical glitches, or fraudulent activity;
  • Disputes related to marketplace transactions must be filed within seven (7) days of the transaction by contacting support.

7. Physical Assets and Vault Storage

RipStation acts as a custodial agent for physical collectibles stored in professional vault facilities. Users retain ownership of their vaulted items; title is assigned upon completion of purchase or submission.

  • Physical collectibles are stored at third-party professional vault and grading facilities;
  • RipStation maintains insurance coverage for vaulted assets, subject to the terms, deductibles, and limits of the applicable insurance policies and vault partner agreements;
  • RipStation itself does not act as an insurer of stored goods;
  • In the event of loss or damage attributable to our gross negligence, liability is limited to the fair market value of the affected item(s) at the time of loss.

7.1 Claim (Redemption) Process

To redeem a digital asset for its corresponding physical collectible, you must provide a valid shipping address, email address, and phone number. A per-item withdrawal fee may apply. Shipping costs and any applicable customs duties or taxes are the responsibility of the user.

7.2 Submit (Tokenization)

You may submit physical collectibles for authentication, grading, and tokenization as digital assets on the platform. Submitted items are subject to inspection, and RipStation reserves the right to reject items that do not meet quality or authenticity standards. Shipping costs for submission are the responsibility of the user.

8. Payments and Fees

Payment may be made via credit or debit cards, wallet balance, cryptocurrency, or other payment methods supported on the Service. Third-party payment processors handle transactions and are subject to their own terms and conditions.

  • All purchases of digital packs are final and non-refundable.
  • You are solely responsible for all applicable taxes arising from your use of the Service, including but not limited to sales tax, value-added tax, income tax, and capital gains tax.
  • Chargebacks or payment reversals initiated without a valid basis may result in immediate account suspension pending investigation.
  • Network or gas fees, where applicable, may be covered by RipStation or passed through to the user as disclosed at the time of transaction.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and design — are owned by or licensed to Byzantine Port Technologies Inc. and are protected by applicable intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes only. You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service;
  • Reverse-engineer, decompile, or disassemble any software used in the Service;
  • Use automated means (bots, scrapers, spiders) to access the Service;
  • Remove, alter, or obscure any proprietary notices on the Service.

Third-party intellectual property (including but not limited to trading card brands, sports leagues, and entertainment properties) displayed on the Service is owned by the respective rights holders. Purchase of a collectible grants ownership of the physical or digital item only and does not convey any intellectual property rights in the underlying content.

10. Prohibited Conduct

You agree not to:

  • Violate any applicable law, regulation, or ordinance, including anti-money laundering (AML), sanctions, and securities laws;
  • Engage in fraud, market manipulation, wash trading, or money laundering;
  • Create multiple accounts for the purpose of circumventing restrictions, manipulating promotions, or evading enforcement actions;
  • Hack, interfere with, or attempt to gain unauthorized access to the Service or any connected systems;
  • Transmit malware, viruses, or other harmful code;
  • Harvest, scrape, or collect user data without authorization;
  • Use VPNs, proxies, or similar tools to circumvent geographic restrictions;
  • Engage in harassment, abuse, or threatening behavior toward other users or staff;
  • Violate the intellectual property rights of RipStation or any third party;
  • Attempt to circumvent or manipulate the provable fairness system;
  • Use the Service for any form of securities offering, fundraising, or investment scheme;
  • Engage in any activity that could damage, disable, or impair the Service.

RipStation reserves the right to investigate suspected violations and to suspend, restrict, or terminate accounts at its sole discretion.

11. User Content

By submitting any content to the Service (including but not limited to reviews, comments, images, or feedback), you grant Byzantine Port Technologies Inc. a fully paid, royalty-free, worldwide, non-exclusive, perpetual, irrevocable license to use, reproduce, modify, distribute, and display such content in connection with providing, improving, and promoting the Service.

You represent and warrant that you own or have the necessary rights to submit such content and that it does not violate any third-party rights.

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RIPSTATION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. RIPSTATION DOES NOT REPRESENT OR WARRANT THAT ANY CONTENT ON THE SERVICE IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.

Randomized Rewards Disclosure: You acknowledge that the value of items received through randomized mechanisms may be significantly less than the amount paid. Past performance is not indicative of future results.

No Fiduciary Duty: RipStation provides platform services only. We do not act as a fiduciary, trustee, investment advisor, or asset manager on your behalf.

12.1 Limitation of Liability

IN NO EVENT SHALL BYZANTINE PORT TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO RIPSTATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000 USD).

12.2 Release

You hereby release Byzantine Port Technologies Inc. and its officers, directors, employees, agents, and affiliates from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any third party in connection with the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless Byzantine Port Technologies Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Service;
  • Your violation of these Terms or any applicable law;
  • Your violation of any third-party rights;
  • Any content you submit to the Service;
  • Any dispute between you and another user;
  • Any blockchain transaction initiated through or in connection with your account.

This indemnification obligation does not apply to the extent that a claim arises from the gross negligence, willful misconduct, or fraud of Byzantine Port Technologies Inc.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination:

  • Digital assets: Where technically feasible, you may access your digital assets through third-party services or external wallets;
  • Physical collectibles: You will be provided a reasonable period (typically thirty (30) days) to initiate a claim for any physical collectibles held in vault storage;
  • Wallet balance: You may withdraw available funds during the post-termination period;
  • Sanctioned users: Assets of users subject to applicable sanctions may be frozen indefinitely in compliance with legal requirements.

The following sections survive termination: Sections 9 (Intellectual Property), 10 (Prohibited Conduct), 11 (User Content), 12 (Disclaimers and Limitation of Liability), 13 (Indemnification), 15 (Governing Law and Dispute Resolution), and 16 (General Provisions).

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles.

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@ripstation.xyz with a written description of the dispute. Both parties agree to attempt to resolve the dispute informally within sixty (60) days of receipt of the written notice. The applicable statute of limitations shall be tolled during this informal resolution period.

15.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that is not resolved through the informal resolution process described in Section 15.1 shall be finally settled by binding arbitration administered by the International Chamber of Commerce (ICC) or another mutually agreed-upon arbitration body, in accordance with its rules then in effect. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Panama City, Panama, unless the parties mutually agree otherwise. Hearings may be conducted remotely.

Byzantine Port Technologies Inc. will cover arbitration filing fees for claims under $10,000, unless the arbitrator determines the claim to be frivolous.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@ripstation.xyz within thirty (30) days of first becoming subject to this arbitration provision. The notice must include your name, account information, and a clear statement that you wish to opt out.

15.3 Class Action Waiver

YOU AND BYZANTINE PORT TECHNOLOGIES INC. AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement or misappropriation of confidential information. Either party may also bring claims in small claims court if the claim qualifies.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Byzantine Port Technologies Inc. with respect to the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Waiver: The failure of Byzantine Port Technologies Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Byzantine Port Technologies Inc. may assign these Terms freely without restriction.
  • Force Majeure: Byzantine Port Technologies Inc. shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or blockchain network failures.
  • Notices: Legal notices to Byzantine Port Technologies Inc. should be sent to legal@ripstation.xyz. We may provide notices to you via email or through the Service.
  • Limitation Period: Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the claim arose, or such claim is permanently barred.
  • Abandoned Property: Unclaimed assets or balances may be treated as abandoned property in accordance with applicable escheatment laws.
